Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Janteh school management platform, including the web application, application programming interfaces, and related services (together, the "Service"), operated by [Janteh — registered legal entity name] ("Janteh", "we", "us", or "our").

The Service is offered to schools in the Republic of The Gambia on an invitation-only basis. By creating an account, accepting these Terms during onboarding, or otherwise using the Service, the school and its authorised users agree to be bound by these Terms. If you do not agree, you must not use the Service.

These Terms are a contract between Janteh and the school (the "School") on whose behalf an administrator registers. The individual accepting these Terms warrants that they are authorised to bind the School.

2. Definitions

• "School" means the educational institution that subscribes to the Service.
• "School Admin" means a user with administrative rights who manages the School's account, staff, and students.
• "Users" means the School Admin, staff, students, and parents who access the Service under the School's account.
• "Personal Data" means information relating to an identified or identifiable person, including students who are minors.
• "Content" means the data a School and its Users submit to the Service, including student records, grades, attendance, messages, and uploaded files.

3. The Service

The Service provides multi-tenant school management functionality, which may include student enrolment, staff management, attendance, grading, report cards, timetabling, fees ledgers, announcements, events, messaging, and a social/collaboration layer for teachers and students.

We may add, change, or remove features over time. We will not make changes that materially reduce the core functionality a School relies on without reasonable notice where practicable.

4. Accounts and Security

The School is responsible for maintaining the confidentiality of account credentials and for all activity that occurs under its account. School Admins and staff authenticate with an email and password; administrators are required to enable two-factor authentication. Students and parents authenticate with a unique number and a PIN.

You must notify us promptly at support@ijanteh.com if you become aware of any unauthorised access to or use of an account. We are not liable for loss arising from unauthorised use of credentials that the School failed to keep secure.

5. School Responsibilities and Lawful Data Collection

The School acts as the data controller for the Personal Data it submits, and Janteh acts as its data processor, as set out in the Privacy Policy and the Data Processing Agreement.

• The School is responsible for the accuracy of the data it enters and for having a lawful basis to process it.
• The School must obtain parental or guardian consent before storing data about any student under 18, as required by the Gambia Data Protection Act 2021.
• The School must ensure its Users use the Service in accordance with these Terms and applicable law.
• The School must not upload unlawful content or content it has no right to process.

6. Acceptable Use

You agree not to, and not to permit any User to:

• use the Service for any unlawful, harmful, or fraudulent purpose;
• attempt to gain unauthorised access to the Service, other Schools’ data, or the underlying infrastructure;
• probe, scan, or test the vulnerability of the Service without our prior written consent;
• upload malware, or interfere with or disrupt the integrity or performance of the Service;
• harass, bully, or abuse other Users, or post content that is defamatory, obscene, or harmful to minors;
• resell, sublicense, or provide the Service to third parties outside the School without our agreement.

7. Fees, Trial, and Billing

The Service may be offered with a free trial period. After the trial, continued use may require payment of subscription fees. Pricing, where applicable, is communicated to the School separately and may be funded in whole or in part by the Ministry of Education.

Where fees apply, payment is made by the methods we specify (for example mobile money or bank transfer) and verified before the subscription is activated or extended. If a payment is not received by the due date, and after any grace period and reminders, access may be suspended until payment is verified. Suspension blocks sign-in only; the School’s data is retained and access is restored automatically once payment is verified.

8. Intellectual Property

The Service, including its software, design, and trademarks, is owned by Janteh and its licensors and is protected by law. These Terms grant the School a limited, non-exclusive, non-transferable right to use the Service for the duration of its subscription.

The School and its Users retain all rights in their Content. The School grants us the limited right to host, process, and transmit its Content solely to provide and support the Service, as described in the Privacy Policy and Data Processing Agreement.

9. Privacy and Data Protection

Our handling of Personal Data is governed by our Privacy Policy and, for the processing we carry out on the School’s behalf, by our Data Processing Agreement. By accepting these Terms, the School also accepts those documents. We process Personal Data in accordance with the Gambia Data Protection Act 2021 and, where applicable, the GDPR.

10. Availability and Support

We aim to keep the Service available and to provide reasonable support, but we do not guarantee that the Service will be uninterrupted or error-free. We may perform maintenance and will try to minimise disruption. Support is available at support@ijanteh.com.

11. Suspension and Termination

We may suspend or terminate access if the School materially breaches these Terms, fails to pay applicable fees, or if required by law. Where practicable we will give notice and an opportunity to remedy a breach.

The School may stop using the Service at any time. On termination, we will make the School’s data available for export for a reasonable period and then delete or return it in accordance with the Data Processing Agreement.

12. Disclaimers and Limitation of Liability

To the fullest extent permitted by law, the Service is provided "as is" without warranties of any kind. We are not liable for indirect, incidental, or consequential loss, or for loss of data arising other than through our failure to meet the security obligations in the Data Processing Agreement. Nothing in these Terms limits liability that cannot be limited by law.

13. Indemnity

The School agrees to indemnify us against claims arising from its unlawful use of the Service, its breach of these Terms, or its failure to obtain a lawful basis or consent required to process Personal Data.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the version and ask School Admins to accept the new version. Continued use after an update constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the Republic of The Gambia, and any dispute will be subject to the jurisdiction of its courts.
